## SOW Key Terms (Updated March 5)

### Payment Structure
- **$30,000** (50%) on signing — non-refundable, covers Phase 1 + Phase 2 initiation
- **$30,000** (50%) on brand book delivery — triggers on eToro's written approval
- **Net 30** payment terms

### IP Model (Split Ownership + License)
**eToro owns outright** (upon full payment):
- All brand assets, design system, visual output, brand book
- Full right to use, modify, extend — unrestricted, royalty-free

**CE retains ownership of:**
- AI agent architecture, prompts, workflow logic
- Methodology, frameworks, tools, playbooks
- Discord server structure, bot configurations

**eToro gets:** Perpetual, royalty-free, non-exclusive, non-transferable operating license for their brand only

**12-month exclusive implementation rights** for CE on the system layer post-engagement

### Termination
- eToro may terminate after Phase 1 for any reason
- If terminated: $30K downpayment fully earned, no further payments due
- Phase 2 requires eToro's written acceptance of Phase 1 deliverables

### Operational Expenses
- All borne by eToro (API calls, licenses, fonts, hosting, etc.)
- Requires prior written approval before incurring
